BUSINESS NEWS Exclusive: Mylan near multibillion-dollar deal for Abbott drug assets - sources

NEW YORK (Reuters) - U.S. generic drugmaker Mylan Inc is in advanced talks to acquire a multibillion-dollar portfolio of established products from Abbott Laboratories, people familiar with the matter said.

The proposed transaction, which is in late-stage discussions, would see Mylan acquire a big chunk of Abbott's Europe-based mature drugs for several billion dollars, said the people, who asked not to be named because the matter is not public.

The acquisition of the foreign assets, according to some of the people, could also allow the U.S. company to change its tax address to overseas, a practice known as inversion that has become popular among healthcare companies seeking to cut their tax bills and gain access to cash held offshore.

The exact value of Mylan's bid could not be learned, but people familiar with the matter previously told Reuters that Abbott was looking to sell a portfolio of mature drugs that could fetch more than $5 billion. A deal could come as soon as next week, but the discussions are continuing and could still fall apart, the people cautioned.

Abbott's established pharmaceuticals division is headquartered in Basel, Switzerland and had 2013 sales of roughly $5 billion. About half of the sales come from emerging markets, and the remainder from other international markets. Representatives for Mylan declined to comment, while Abbott did not respond to requests for comment.

A potential deal with Abbott would come after Mylan's failed attempt to buy Swedish drugmaker Meda AB earlier this year. Meda in April rejected Mylan's revised $6.7 billion takeover bid, saying its biggest shareholder did not back a deal.

Mylan was looking to do an inversion deal partly because it was at a disadvantage compared with foreign rivals as well as other U.S. generic drugmakers that have redomiciled to a low-tax country.

Major competitors include Teva Pharmaceuticals Industries Ltd, which is based in Israel, and Actavis Plc, which re-domiciled to Ireland through a 2013 acquisition of Warner Chilcott. Both face lower tax rates.

Tax inversions allow U.S. companies, which face one of the highest tax rates in the world - a federal tax rate of 35 percent, and an overall rate that can be close to 40 percent, including state and local taxes - to move to a lower-tax country by buying or creating a new holding company.

The deal would add to a flurry of dealmaking in the healthcare sector, which more than tripled to $317.4 billion in the first half of 2014 from the same period last year.

Reuters first reported in May that Abbott has tapped Morgan Stanley to find a buyer for the off-patent drugs so that it can free up resources to invest in high-growth areas.

Other large pharmaceutical companies including GlaxoSmithKline Plc, Sanofi SA and Merck & Co Inc are also looking to shed older drugs, many of which have lost patent protection and face shrinking sales.

Faced with healthcare spending cuts and generic competition, the pharmaceutical industry is undergoing a major restructuring, with companies playing to their strengths by building up certain businesses and divesting others.

SPORTS NEWS: Brazil desperate to salvage some pride against Dutch

BRASILIA (Reuters) - Hosts Brazil are determined to end their home World Cup with a victory against the Netherlands in Saturday's third place playoff and try and move on from the humbling 7-1 defeat by Germany in the last four.

Coach Luiz Felipe Scolari will welcome back skipper Thiago Silva for the clash at the Brasilia national stadium against the Dutch, who are also grieving after missing out on a place in the final following a penalty shootout defeat by Argentina.

Departing Netherlands coach Louis Van Gaal previously said he thought the third-place match was a waste of time but he is now targeting victory to ensure his team become the first Dutch side to go through a World Cup unbeaten in regulation time.

However, both Van Gaal and Scolari would much rather be in Rio de Janeiro where Germany and Argentina are going through their final preparations for Sunday's final at the Maracana.

SHOCKING NEWS: ENTERTAINMENT British 'Harry Potter' actor David Legeno found dead in U.S. park

NEW YORK (Reuters) - British actor David Legeno, who appeared as a werewolf in the "Harry Potter" films, was found dead by hikers in a remote area of Death Valley, California police said on Friday.

The Inyo County Sheriff's Office said the body of Legeno, 50, was found early on Sunday morning and a helicopter was used to transport it from the area.

"It appears that Legeno died of heat related issues, but the Inyo County coroner will determine the final cause of death. There are no signs of foul play," the sheriff's office said in a statement.

The burly, London-born, professional boxer and martial arts expert played Fenrir Greyback the ferocious werewolf in several of the "Harry Potter" films. He also appeared on television and in a string of movies, including "Snow White and the Huntsman," "Snatch," "Centurion" and "Batman Begins."

2014 WORLD CUP SPORTS NEWS: Seasoned Germany expects to edge past Argentina

RIO DE JANEIRO (Reuters) - Germans expect the experience that runs through their team to give them the edge over Argentina in Sunday's World Cup final after admitting they restrained themselves when they thumped Brazil in the semi-finals.

Germany ruined the samba nation's dream of winning the World Cup when they hammered Brazil 7-1 on Tuesday but forward Thomas Mueller revealed it could have been worse.

The Europeans were leading 5-0 at halftime and decided during the break that they would not embarrass the hosts by showboating with fancy passes or trick shots.

"With the score the way it was, we said we should avoid being arrogant and to refrain from humiliating the opponent," Mueller said on Friday.

"There was this agreement and it came from the players themselves."

Mueller, one of 10 names short-listed for the Golden Boot award given to the best player of the tournament, said Germany were anticipating a much tougher match from Argentina so could not afford to let up at any stage against the South Americans.

"I'm not expecting that we'll be ahead 5-0 at halftime again like against Brazil even though that would be nice," he said.

"It could end up being a tight match like against Algeria or France. But it doesn't matter. We know what we have to do."

Germany captain Philipp Lahm also said there was no room for sentiment in the final, adding that his team was single-minded in their approach to the game.

"We're here to win the World Cup," he told reporters at Germany's secluded training camp at Santo Andre. "The experience we've got all the way through our team is definitely an edge for us."

END OF AN ERA

Regardless of the result, Sunday's match will mark the end of the road for Argentina manager Alejandro Sabella, who is stepping down, according to his agent.

A former midfielder who was capped eight times by Argentina, Sabella got involved in coaching after he retired as a player in 1989 and took on the national job in 2011.

"He's going. He's leaving whatever happens. Whether they are champions or not, a cycle is ending," agent Eugenio Lopez said.

Argentina were fined 300,000 Swiss francs ($336,000) by FIFA on Friday for failing to bring players to four pre-match news conferences during the World Cup.

However, the sport's world governing body did pick three of their players - Lionel Messi, Angel Di Maria and midfielder Javier Mascherano - for the Golden Boot shortlist.

Germany had four players selected, Mueller and Lahm plus Mats Hummels and Toni Kroos, while Colombia midfielder James Rodriguez, Netherlands forward Arjen Robben and Brazil's Neymar, who was injured in the quarter-finals, were also nominated.

Italian Nicola Rizzoli, a 42-year-old architect, was chosen as the referee for Sunday's showpiece game at the Maracana while Algeria's Djamel Haimoudi will take charge of Saturday's third-place playoff between Brazil and the Netherlands in Brasilia.

The future of Brazil manager Luiz Felipe Scolari remains the source of widespread speculation in his homeland in the wake of the country's record World Cup defeat by Germany.

Scolari, who led Brazil to their fifth world crown in 2002, has not revealed his long term plans but Marco Polo Del Nero, the president-elect of the Brazilian Football Confederation, said he should keep his job because of the good work he did during his 19 months in charge.

"To me, he stays," Del Nero told the Estado de Sao Paulo newspaper. "What happened was a tactical error. That was the problem. But we all make mistakes. It can happen to anyone."

Netherlands coach Louis van Gaal, who will is definitely leaving his post to become manager of Manchester United, has changed his tune on the importance of the third-place playoff.

Initially critical of the match, Van Gaal has now told his players a win would see them the end the tournament undefeated after they were eliminated in a penalty shootout by Argentina.

"It would be wonderful to close this World Cup by winning but we still won't be satisfied," he said.

"It will be part of my speech that this is my last match and the players may want to give me a present in the form of victory so we can finish the tournament undefeated."

TECHNOLOGY NEWS: Google seeks to dismiss U.S. antitrust lawsuit over Android

SAN FRANCISCO (Reuters) - An antitrust lawsuit targeting Google's Android operating system should be dismissed, Google said in a court filing on Friday, partly because smartphone manufacturers are free to utilize Android on their phones without also installing Google apps.

Two smartphone customers filed a proposed class action lawsuit against Google Inc in May, arguing that the way Google licenses Android to smartphone companies like Samsung Electronics Co Ltd is unfair to Google's competitors for search and other mobile services.

The lawsuit is the latest antitrust issue confronting Google, which has faced complaints from rivals including Microsoft Corp that it unfairly ranked its own services higher than competitors' in search results. A proposed settlement with European regulators on that issue is pending.

In the U.S. lawsuit, plaintiff lawyers had argued that Google forces phone manufacturers to set its own search engine as the default on Android phones. Google knows consumers will not go through the trouble of changing those default settings, the lawsuit said, putting competitors at an unfair disadvantage given Android's global market share.

"Google badly wants default search engine status because it results in more paid search-related advertisements," the lawsuit said, "which are the source of most of its billions and billions of dollars in annual profits."

But in a filing on Friday in San Jose, California, federal court, Google argued that the U.S. class action should fail because handset manufacturers are not obligated to accept Google apps as a precondition for using Android.

Additionally, if a phone manufacturer does opt to install Google apps, they can still preload competing apps as well. Consumers, moreover, are free to customize their own phones and replace Google search as the default.

"Google's conduct is not only fully consistent with but actually promotes lawful competition," the company wrote.

Google also argued that the lawsuit failed to show how Google's agreements with handset manufacturers caused consumers to overpay for their phones.

An attorney for the plaintiffs could not immediately be reached for comment. A hearing on the motion to dismiss is currently scheduled for October.

The case in U.S. District Court, Northern District of California, is Gary Feitelson and Daniel McKee, on behalf of themselves and all others similarly situated vs. Google Inc, 14-2007.
