BUSINESS Ford's CEO Fields gets 9 percent raise in annual salary

DETROIT (Reuters) - Ford Motor Co (F.N) said on Wednesday its new chief executive officer, Mark Fields, will receive a 9 percent increase in his base salary, as well as stock options and a performance-based bonus.

Ford said in documents filed with U.S. regulators that Fields' base salary will be $1.75 million this year, up from $1.6 million last year when he was chief operating officer.

Fields, 53, took the CEO reins from Alan Mulally on Tuesday.

Last year, Fields' total compensation was $10.2 million. While the company outlined his compensation in a filing with the U.S. Securities and Exchange Commission, a spokeswoman said his total 2014 package will not be reported until next year's proxy.[ID:nL1N0MP1HY]

Ford said 70 percent of its senior executive compensation is performance-based, tied to the company's business and stock performance.

Mulally received $23.2 million in total compensation last year, including $2 million in salary.

In addition to his salary, Fields received 710,227 stock options with an exercise price of $17.21 a share, vesting over a three-year period. Ford's stock was trading at $17.27 on the New York Stock Exchange on Wednesday.

One-third of Fields' stock options are exercisable after one year, two-thirds after two years and in full after three years.

Ford also set a target bonus of $3.5 million under its annual incentive compensation plan, and Fields could receive more or less than that, based on such factors as profit, cost performance, market share and quality. Fields' target bonus last year was $2.4 million.

Fields would be required to use a private plane when traveling on company business for safety and efficiency, the company said.

Ford had announced in May that Fields would take over as CEO, confirming what investors had long expected.

Mulally, 68, had been CEO since 2006 and was credited with steering Ford through the recession without falling into bankruptcy like its Detroit-area rivals General Motors and Chrysler.

Ford said on Wednesday that the board determined that Mulally will retain performance-based stock awards he received in March and the company will continue arrangements with him for housing and travel through the end of August

Analysts have said Fields inherited a much stronger company than Mulally did, one with a highly profitable North American operation underpinned by the top-selling F-150 large pickup truck, a growing share of the China auto market - the world's largest, and a nascent recovery in Europe. The focus for Fields will be on execution as the No. 2 U.S. automaker is poised to launch a record 23 global products this year, including a new version of the lucrative F-150, analysts have said.

BUSINESS Wall Street flat after strong jobs data; utilities slip

NEW YORK (Reuters) - U.S. stock indexes were little changed on Wednesday, with the Dow industrials hovering just below 17,000, after the U.S. private sector created many more jobs than expected last month.

At its session high, the Dow was within 15 points of the milestone 17,000 level, and the S&P 500 is less than 1.5 percent away from 2,000. Both round-number levels could serve as psychological barriers as the market trades at record highs.

U.S. private employers hired 281,000 workers in June, marking the biggest monthly increase since November 2012, well above market expectations for 200,000, data from payrolls processor ADP showed. The number bodes well for the government's June payroll data due Thursday.

"We're looking for a bit of a snapback in the economy and this is certainly data that points in that direction," said Art Hogan, chief market strategist at Wunderlich Securities in New York.

"The pattern of better economic data continues, that means we've got an improving economy which should lead to higher earnings and be constructive for stocks."

A fall in demand for military equipment spurred a drop in new orders for U.S. factory goods in May, but signs of a healthy appetite for investment in the private sector pointed to broader strength in the economy.

The S&P utilities sector was the worst performer, down 1.4 percent as traders bet the data was a predictor of a stronger economy and higher interest rates. Utilities are a market favorite in low interest rates environment as a dividend play.

The Dow Jones industrial average rose 8.38 points, or 0.05 percent, to 16,964.45, the S&P 500 gained 0.55 points, or 0.03 percent, to 1,973.87 and the Nasdaq Composite added 3.89 points, or 0.09 percent, to 4,462.54.

Rackspace Hosting shares jumped 5.5 percent to $35.60 after TechCrunch reported the cloud service provider may take itself private and was in talks with a private equity firm to fund the deal.

Shutterfly shares jumped 13.8 percent to $49.52 after Bloomberg reported that the company was working with boutique investment bank Qatalyst Partners to find buyers for itself.

GoPro shares fell 10.7 percent to $43.59 after closing at $48.80 Tuesday, which was more than double their IPO price of $24 set last week. Sungard's Astec Analytics said the cost to borrow GoPro shares, a proxy for short interest, was "one of the highest on our system" and utilization is near 100 percent.

JPMorgan Chase shares were in focus after Chief Executive Officer Jamie Dimon said he had been diagnosed with early stage throat cancer but would remain actively involved in the largest U.S. bank's business while in treatment. Shares were down 1 percent at $57.02.

Adding to a recent string of transactions that has lifted stocks in the healthcare sector, Roche said it would pay up to $1.725 billion to buy Seragon Pharmaceuticals, a privately-held U.S. biotech company that researches breast cancer treatments.

BUENOS AIRES (Reuters) - Argentina will press a U.S. judge to unfreeze a coupon payment to holders of the country's restructured debt as a condition of negotiating with 'holdout' creditors suing for full repayment, a government official said on Wednesday.

Latin America's No. 3 economy has been pushed to the brink of a fresh default by a string of U.S. court decisions that have forced it to negotiate with holdout investors who declined to restructure their bonds after the country's 2002 debt crisis.

More than 92 percent of the country's investors agreed to receive less than 30 cents on the dollar in bond restructurings carried out in 2005 and 2010.

The holdouts rebuffed those terms and want 100 cents on the dollar, but say they are willing to negotiate.

The government is sending a team to New York next week to set conditions for talks by way of a court-appointed mediator.

"These conditions will naturally include our objective of respecting the restructuring of 92.4 percent of our debt and generating fair conditions for all creditors," Cabinet Chief Jorge Capitanich told a news conference. "We are going into the meeting with this objective."

Argentina tried to make a coupon payment on its restructured debt on Monday but payout was blocked by U.S. District Court Judge Thomas Griesa in New York, who said the government must reach a deal with holdouts before any more payments on restructured bonds can go through.

A 30-day grace period started on Tuesday, meaning the country has until the end of this month to strike a deal with the holdouts or fall into what would be its second sovereign default in 12 years.

A new default would prolong Argentina's banishment from the global bond market, depriving it of the foreign investment needed to develop its promising Vaca Muerta shale oil and gas field in Patagonia and improve crumbling roads that have impeded the efficient export of soy, corn and wheat.

Without access to international capital markets, pressure is likely to continue on central bank reserves, which at about $29 billion are at eight-year lows.

Capitanich said Argentina will stress the need to respect its 2005 and 2010 restructurings as a basis for a deal with the holdouts, who the government regularly denigrates as vulture funds circling the remains of the country's 2002 debt crisis, which pushed millions of middle-class Argentines into poverty.

"The restructuring ratified our willingness to pay our debts while allowing our economy to grow, and continue to generate resources to allow for payments to continue," Capitanich said.

The holdouts, led by Elliott Management Corp and Aurelius Capital Management and who are asking for $1.33 billion plus accrued interest, accuse Argentina of recalcitrance.

"What they say is not true," Capitanich said. "They are the ones who have never sat down at the negotiating table, and have emphatically and systematically rejected every possibility of doing so."

NEW YORK (Reuters) - U.S. private payrolls recorded their largest gain in 1-1/2 years in June as businesses stepped up hiring, reinforcing views the economy has rebounded from its first-quarter slump.

Private employers added 281,000 workers to payrolls, up from 179,000 in May, payrolls processor ADP said on Wednesday. June's gains, which topped economists' expectations for an increase of only 200,000 jobs, was the largest since November 2012.

Coming a day before the release of the government's comprehensive employment report for June, the ADP report increased the likelihood of another month of strong nonfarm payrolls growth, economists said.

"It signals continued strengthening in job creation and increases our confidence that payrolls for June may have posted their fifth consecutive 200,000-plus monthly gain," said John Ryding, chief economist at RDQ Economics in New York.

Nonfarm payrolls probably increased by 212,000 in June after rising 217,000 the prior month, according to a Reuters poll of economists.

The ADP report, which is jointly developed with Moody's Analytics, was the latest indication the decline in economic growth in the first three months of the year was temporary. Gross domestic product contracted at a 2.9 percent annual pace in the first quarter.

Automobile sales surged in June and factories continue to expand at a steady clip. Housing, which has struggled following a run-up in mortgage rates last year, is also showing signs of life.

Prices for U.S. Treasury debt fell on the ADP data, while the dollar rose against a basket of currencies. U.S. stocks were poised to open slightly higher.

Last month, job gains in the private sector were broad-based. Construction payrolls increased 36,000, the biggest gain since February 2006.

Manufacturing added 12,000 jobs. Professional business services employers hired 77,000 workers last month, the most since November 2012.

"Judging from the job market, the economic recovery remains fully intact and is gaining momentum," said Mark Zandi, chief economist at Moody's Analytics in West Chester, Pennsylvania.

(Reuters) - Two former female employees of Goldman Sachs Group Inc (GS.N) who have accused the bank of gender discrimination are seeking class action status for their case.



If class action is granted, the two former employees will be able to press the case on behalf of all female associates and vice-presidents in the company's investment bank, investment management and securities divisions.



Cristina Chen-Oster, a former vice-president and Shanna Orlich, a former associate, filed their suit in 2010.



The two accused Goldman of fostering a "boys club" atmosphere where binge drinking was common and meetings were held at strip clubs.

BUSINESS Wall Street flat after strong jobs data; utilities slip

NEW YORK (Reuters) - U.S. stock indexes were little changed on Wednesday, with the Dow industrials hovering just below 17,000, after the U.S. private sector created many more jobs than expected last month.

At its session high, the Dow was within 15 points of the milestone 17,000 level, and the S&P 500 is less than 1.5 percent away from 2,000. Both round-number levels could serve as psychological barriers as the market trades at record highs.

U.S. private employers hired 281,000 workers in June, marking the biggest monthly increase since November 2012, well above market expectations for 200,000, data from payrolls processor ADP showed. The number bodes well for the government's June payroll data due Thursday.

"We're looking for a bit of a snapback in the economy and this is certainly data that points in that direction," said Art Hogan, chief market strategist at Wunderlich Securities in New York.

"The pattern of better economic data continues, that means we've got an improving economy which should lead to higher earnings and be constructive for stocks."

A fall in demand for military equipment spurred a drop in new orders for U.S. factory goods in May, but signs of a healthy appetite for investment in the private sector pointed to broader strength in the economy.

The S&P utilities sector was the worst performer, down 1.4 percent as traders bet the data was a predictor of a stronger economy and higher interest rates. Utilities are a market favorite in low interest rates environment as a dividend play.

The Dow Jones industrial average rose 8.38 points, or 0.05 percent, to 16,964.45, the S&P 500 gained 0.55 points, or 0.03 percent, to 1,973.87 and the Nasdaq Composite added 3.89 points, or 0.09 percent, to 4,462.54.

Rackspace Hosting shares jumped 5.5 percent to $35.60 after TechCrunch reported the cloud service provider may take itself private and was in talks with a private equity firm to fund the deal.

Shutterfly shares jumped 13.8 percent to $49.52 after Bloomberg reported that the company was working with boutique investment bank Qatalyst Partners to find buyers for itself.

TOP NEWS Sunnis, Kurds shun Iraq parliament

BAGHDAD (Reuters) - Sunnis and Kurds walked out of the first session of Iraq's new parliament on Tuesday after Shi'ites failed to name a prime minister to replace Nuri al-Maliki, dimming any prospect of an early national unity government to save Iraq from collapse.

The United States, United Nations, Iran and Iraq's own Shi'ite clergy have pushed hard for politicians to come up with an inclusive government to hold the fragmenting country together as Sunni insurgents bear down on Baghdad.

The leader of the al Qaeda offshoot spearheading the insurgency, the Islamic State, has declared a "caliphate" in the lands it has seized in Iraq and Syria. Its leader vowed on Tuesday to avenge what he said were wrongs committed against Muslims worldwide.

Despite the urgency, the Iraqi parliament's first session since its election in April collapsed when Sunnis and Kurds refused to return from a recess to the parliamentary chamber after Shi'ites failed to name a prime minister.

Parliament is not likely to meet again for at least a week, leaving Iraq in political limbo and Maliki clinging to power as a caretaker, rejected by Sunnis and Kurds.

Under a governing system put in place after the removal of Saddam Hussein, the prime minister has always been a member of the Shi'ite majority, the speaker of parliament a Sunni and the largely ceremonial president a Kurd.

The Shi'ite bloc known as the National Alliance, in which Maliki's State of Law coalition is the biggest group, has met repeatedly in recent days to bargain over the premiership but has so far been unable either to endorse Maliki for a third term or to name an alternative.

Fewer than a third of lawmakers returned from the recess. Sunni parties said they would not put forward their candidate for speaker until the Shi'ites pick a premier. The Kurds have also yet to nominate a president.

Osama al-Nujaifi, a leading Sunni politician, former speaker and strong foe of Maliki, warned that "without a political solution, the sound of weapons will be loud, and the country will enter a black tunnel".

He said his bloc did not have a candidate for a speaker so far and was waiting to see who the National Alliance would nominate for prime minister.

"If there is a new policy with a new prime minister, we will deal with them positively. Otherwise the country will go from bad to worse," Nujaifi said.

Shi'ite lawmakers sought to shift blame to the Sunni and Kurdish blocs, saying the premiership was the last position to be named in the constitutionally-defined process. 

Mehdi al-Hafidh, parliament's oldest member who is tasked by the constitution with chairing the legislature's meetings until a speaker is named, said the next session would be held in a week, if agreement was possible after discussions.

FIGHTING RAGES

Baghdad can ill-afford further delays. Government troops have been battling for three weeks against fighters led by the group formerly known as the Islamic State in Iraq and the Levant (ISIL). This week it shortened its name to the Islamic State and declared its leader "caliph" - historic title of successors of the Prophet Mohammad who ruled the whole Muslim world.

Speaking for the first time since then, the group's leader Abu Bakr al-Baghdadi vowed revenge for what he said were wrongs committed against Muslims, calling on fighters to avenge them

"Your brothers, on every piece of this earth, are waiting for your rescue," Baghdadi purportedly said in an audio message that was posted online, naming a string of countries from Central African Republic to Burma where he said violations were being committed against Muslims.

"By Allah, we will take revenge, by Allah we will take revenge, even if after a while," he said in the Ramadan message. Baghdadi also called on Muslims to immigrate to the "Islamic State", saying it was a duty.

Fighting has raged in recent days near former dictator Saddam Hussein's home city, Tikrit, north of Baghdad. ISIL also controls suburbs just west of the capital and clashes have erupted to the south, leaving the city of 7 million confronting threats from three sides.

The United Nations said on Tuesday more than 2,400 Iraqis had been killed in June alone, making the month by far the deadliest since the height of sectarian warfare during the U.S. "surge" offensive in 2007.

In a reminder of that conflict, mortars fell near a Shi'ite holy shrine in Samarra which was bombed in 2006, unleashing the sectarian bloodshed that killed tens of thousands over the next two years. Samarra, north of Baghdad, is now held by Baghdad's troops with ISIL in the surrounding countryside.

Violence also struck the capital, where police found two bodies with their hands tied behind their back and bullet wounds in the head and chest in the mainly Shi'ite neighborhood of Shula, police and medical sources said. 

A bomb went off in Baghdad's western Jihad district, killing two passersby and wounding six more, police and medics said. 

The insurgents' advance has triggered pledges of support for Baghdad from both Washington and Tehran.

On Tuesday, Iran's deputy foreign minister said his country had not received any request for weapons from Baghdad but was ready to supply them if asked.

Iraq also flew Russian-made Sukhoi Su-25 jets delivered on Saturday for the first time, state television reported, although there was no independent confirmation.

Saudi Arabia pledge $500 million in humanitarian aid for Iraqis to be disbursed through U.N. agencies, a Saudi Press Agency statement said.

SHOUTING MATCH

Parliament opened its first session with an orchestra playing the national anthem and the recitation of a Quranic verse emphasizing unity. Hafidh called on lawmakers to confront the crisis.

"The security setback that has beset Iraq must be brought to a stop, and security and stability have to be regained all over Iraq, so that it can head down the path in the right way toward the future," he said.

Lawmakers stood at the arrival of Maliki, who waved to his long-time foe Nujaifi and shook hands with Saleh al-Mutlaq, another leading Sunni politician.

But anger among the three main ethnic and sectarian groups soon flared when a Kurdish lawmaker accused the government of withholding salaries for the Kurds' autonomous region. Kadhim al-Sayadi, a lawmaker in Maliki's list, shouted back that Kurds were taking down Iraqi flags.

"The Iraqi flag is an honor above your head. Why do you take it down?" he shouted. "The day will come when we will crush your heads."

The dramatic advance by ISIL, which has dominated swathes of territory in an arc from Aleppo in Syria to near the western edge of Baghdad in Iraq, has stunned Iraq and the West. The group and allied militants seized border posts, oilfields and northern Iraq's main northern city Mosul in a lightning offensive in June.

Other Iraqi Sunni armed groups which resent what they see as persecution under Maliki are backing the insurgency.

Kurds have taken advantage of the advance to seize territory, including the city of Kirkuk, which they see as their historic capital and which sits above huge oil deposits.

Results of April's elections initially suggested parliament would easily confirm Maliki in power for a third term. But with lawmakers taking their seats after the collapse of the army in the north, politicians face a more fundamental task of staving off a breakup of the state.

Maliki's foes blame him for the rapid advance of the Sunni insurgents. Although Maliki's State of Law coalition won the most seats, it still needs allies to govern. Sunnis and Kurds demand that he go, arguing he favors his own sect, inflaming the resentment that fuels the insurgency.

The United States has not publicly called for Maliki to leave power but has demanded a more inclusive government in Baghdad as the price for more aggressive help.

DEADLINE PASSES

Washington has so far pledged 300 mainly special forces advisers and said on Monday it was sending a further 300 troops to help secure the embassy and Baghdad airport.

Maliki's government, with the help of Shi'ite sectarian militias, has managed to stop the militants short of the capital but has been unable to take back cities its forces abandoned.

The army attempted last week to take back Tikrit but could not recapture the city, 160 km (100 miles) north of Baghdad, where ISIL fighters had machine-gunned scores of soldiers in shallow graves after capturing it on June 12. Residents said fighting raged on the city's southern outskirts on Monday.

On Friday, in an unusual political intervention, Grand Ayatollah Ali al-Sistani, Iraq's most senior Shi'ite cleric, called on political blocs to name the prime minister, president and speaker before parliament met on Tuesday.

Now that deadline has passed, a prominent Shi'ite lawmaker told Reuters he expected Sistani to keep up the pressure.

Maliki's close friends say he does not want to relinquish power, although senior members of his State of Law coalition have told Reuters an alternative premier from within his party was being discussed. Rival Shi'ite groups also have candidates.

Many worry that a drawn-out process will waste precious time in confronting the militants, who have vowed to advance on Baghdad. A Shi'ite lawmaker, speaking on condition of anonymity, said: "Things are bad. The political process is not commensurate with the speed of military developments."

BERLIN/KIEV (Reuters) - Germany's Angela Merkel warned Moscow ahead of talks on Ukraine on Wednesday that economic sanctions remained an option unless it backed peace efforts, as Ukrainian government forces pressed on with an offensive against pro-Russian rebels.

The Ukrainian, Russian, German and French foreign ministers were due to meet in Berlin at 4.30 p.m. (1430 GMT) to discuss restoring a 10-day ceasefire in eastern Ukraine, which the chancellor said had prompted "no significant reaction" from the separatists.

"We will not stop looking for diplomatic solutions," Merkel said. "But we are nowhere near where we want to be."

"Regarding sanctions against Russia, we have so far reached level two and we cannot rule out having to go further," Merkel said, referring to measures against Russian officials and firms the West accuses of undermining Ukraine's territorial integrity.

The European Union and United States have threatened to ratchet up sanctions against the Russian economy unless it reins in the separatists in eastern Ukraine. Moscow denies supporting them.

Separatists fired a shoulder-launched missile that struck and damaged an SU-24 attack plane, a military spokesman said, while a Ukrainian border guard was killed in a mortar attack.

"The armed forces and the National Guard are continuing the offensive on terrorists and criminals," Ukrainian parliament speaker Oleksander Turchynov said.

President Petro Poroshenko, under pressure at home to take a tough line on rebels who have been fighting Kiev's forces since April, refused to renew a ceasefire on Monday night and ordered an offensive against "the terrorists, militants and marauders".

That won backing from the United States, but drew criticism from Russia's Vladimir Putin who said Ukraine's newly-elected leader had veered off the road to peace.

Separatism erupted in the Russian-speaking east in April, when rebels seized buildings and strategic points, declaring "people's republics" and saying they wanted union with Russia. By June 30, a total of 191 Ukrainian service personnel had been killed, including 145 soldiers, said Andriy Lytsenko, a spokesman for the national security and defence council. Hundreds of civilians and rebels have been killed. Diplomats cautioned against expecting any major breakthrough at the foreign ministers' meeting in the biggest Russia-West confrontation since the Cold War.

"It would be good if we could agree on steps towards a mutual, lasting ceasefire, but this is anything other than a simple undertaking," said a spokesman for German Foreign Minister Frank-Walter Steinmeier.

"There is not a precise objective. It's an opportunity to work on peace efforts, but we don't want to raise expectations," a French diplomatic source said on Tuesday.

"RIGHT TO DEFEND COUNTRY"

Russian Foreign Minister Sergei Lavrov backed the idea of the meeting with France's Laurent Fabius and Ukraine's Pavlo Klimkin during a phone conversation with Steinmeier late on Tuesday, the Russian Foreign Ministry said.

Poroshenko, who accuses Russia of fanning the conflict and allowing fighters and equipment to cross the border, turned his back on another renewal of a unilateral ceasefire after phone talks with Putin, Merkel and French President Francois Hollande.

The United States defended Poroshenko on Tuesday. U.S. State Department spokeswoman Marie Harf said "it takes two to keep a ceasefire", adding that the president had "a right to defend his country" against rebels who failed to adhere to the truce.

Kiev says that since the ceasefire was initially declared for a week on June 20 - and then extended by three days - 27 Ukrainian servicemen have been killed.

Acting defence minister Mykhailo Koval said late on Monday government forces had carried out strikes against 120 rebel positions. The pilot of an SU-24 hit by rebels managed to regain control and "destroy" an enemy position, a military spokesman said, adding that since the launch of the offensive a Ukrainian paratrooper had been killed by snipers and 13 others wounded.

Ukraine has been in turmoil since a Moscow-backed president, Viktor Yanukovich, walked away from a free-trade deal with the European Union last year. He was toppled in February after street demonstrations. Moscow responded by seizing Ukraine's Crimea region in March, before the rebels rose up in the east.

On Friday 48-year-old Poroshenko, defying threats by Russia to carry out retaliatory trade action, signed the EU deal.

TOP NEWS: Anti-immigration protesters block undocumented migrants in California

MURRIETA Calif. (Reuters) - Protesters shouting anti-immigration slogans blocked the arrival of three buses carrying undocumented Central American families to a U.S. Border Patrol station on Tuesday after they were flown to San Diego from Texas.

The migrants, a group of around 140 adults and children, were sent to California to be assigned case numbers and undergo background checks before most were likely to be released under limited supervision to await deportation proceedings, U.S. immigration officials said.

But plans to bring the immigrants to a Border Patrol outpost in Murrieta, 60 miles (100 km) north of San Diego, sparked an outcry from town mayor Alan Long, who said the migrants posed a public safety threat to his community.

The group is part of a growing wave of families and unaccompanied minors fleeing Guatemala, El Salvador and Honduras and streaming by the thousands into the United States by way of human trafficking networks through Mexico.

Most have shown up in Texas, overwhelming detention and processing facilities there.

The surge has left U.S. immigration officials scrambling to handle mass numbers of Central American migrants who, by law, the government cannot immediately deport, as they normally could illegal border crossers of Mexican or Canadian origin.

More than 52,000 unaccompanied children from Central America have been caught trying to sneak over the U.S.-Mexico border since October, double the number from the same period the year before, according to U.S. Customs and Border Protection figures. Thousands more were apprehended with their parents.

The group caught up in Tuesday's confrontation arrived by plane at midday in San Diego from Texas, where they had been apprehended while trying to cross the border, and were put on three unmarked buses for the ride to Murrieta.

As the buses neared their destination, some 150 protesters waiving American flags and shouting "Go home - we don't want you here," filled a street leading to the access road for the Border Patrol station, blocking the buses from reaching the facility.

The demonstrators disregarded orders from police to disperse, but officers did not attempt to intervene physically to break up the demonstration.

After about 25 minutes, the buses backed up, turned around and left. A board member of the union representing border patrol agents, Chris Harris, said the buses would likely be rerouted to one of six other Border Patrol stations in the San Diego sector.

Lois Haley, a spokesman for the Immigration and Customs Enforcement agency, declined to say where the buses were headed.

Local television station San Diego 6 said the buses went to the Chula Vista Station where about 140 migrants, mainly women and children, could be seen entering, though it was unclear if they were processed inside. It also said several of the children were taken to hospital for unspecified treatment.

A supervisor at Chula Vista declined to comment.

A separate group of undocumented families with children was being sent on Tuesday to a similar processing facility in El Centro, California, a desert community about 100 miles east of San Diego, U.S. immigration officials said. But there was no word on any disruptions of their arrival.

TOP NEWS: Roche to buy U.S. biotech firm Seragon for up to $1.7 billion

ZURICH (Reuters) - Roche Holding AG (ROG.VX) said it would pay up to $1.725 billion to buy Seragon Pharmaceuticals, a privately-held U.S. biotech company that researches breast cancer treatments.

Roche has long dominated the field of breast cancer with drugs such as Herceptin and recently won approval for Kadcyla and Perjeta, two treatments for patients whose cancer cells contain increased amounts of the protein known as HER2.

San Diego-based Seragon was spun out from Aragon Pharmaceuticals last year when that company was bought by Johnson & Johnson (JNJ.N). Seragon is focused on developing a new generation of oral medicines that it believes offer an improved way of tackling hormone receptor-positive breast cancer, and potentially other cancers.

Its most advanced experimental drug, ARN-810, is currently in initial Phase I clinical trials for breast cancer patients who have not responded to current hormonal agents.

Roche said Seragon's so-called oral selective estrogen receptor degraders, or SERDs, would complement existing research and development programmes in breast cancer under way at the Swiss group's Genentech unit.

The Basel-based drugmaker will pay $725 million in cash and may hand over as much as $1 billion more if Seragon achieves drug development milestones.

HIGH PRICE SEEN AS JUSTIFIED

The price Roche is paying for Seragon looks relatively high for a firm with only one treatment in a Phase I study, but can be justified because Roche is filling a huge gap for future breast cancer treatments with the purchase, analysts at Zuercher Kantonalbank said.

"We assume that Genentech's scientists see considerable potential in SERDs, because otherwise they would not have accepted this relatively high price," ZKB said.

Roche shares were up 0.5 percent rose at 0821 GMT, outpacing a 0.3 percent rise in a wider index of European drugmakers (.SXDP).

Since acquiring Genentech for $46.8 billion in 2009, Roche has earned a reputation as a disciplined acquirer, prepared to walk away from potential deals rather than overpay.

Chief Executive Severin Schwan abandoned a $6.8 billion deal to buy U.S gene sequencing company Illumina in 2012 and has snapped up a couple of smaller diagnostic companies this year instead of pursuing multi-billion deals.

Roche has also partnered with various companies to develop antibiotics and said last week it would work with Inception Sciences Inc and Versant Ventures on a new company to develop therapies for patients with multiple sclerosis.

Seragon is the second notable acquisition in as many months for Roche, which bought privately held U.S. gene-sequencing firm Genia Technologies for up to $350 million in June, securing access to a technology that should allow it to decipher human genes more quickly at a cheaper cost.

The acquisition represents a response to investors who wondered how Roche might use its cash now that its ratio of net debt to assets is back within its target band of zero to 15 percent after paying down debt from acquiring Genentech.

The transaction is expected to close in the third quarter of 2014.
